1. Agreement to Terms
By accessing or using the SignalNest platform ("Service"), operated by SignalNest ("Company," "we," "us," or "our"), you ("User," "you," or "your") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.
These Terms apply to all visitors, users, and others who access or use the Service, including free trial users and paid subscribers.
2. Description of Service
SignalNest provides an automated missed-call text-back, lead capture, and appointment scheduling platform for service businesses. Features include but are not limited to:
- Automated SMS follow-up for missed inbound calls
- AI-powered lead qualification and conversation handling
- Online appointment booking and scheduling
- Call forwarding and routing configuration
- Dashboard analytics and reporting
- Third-party integrations (CRM, payment processing, etc.)
3. Account Registration
To use the Service, you must create an account and provide accurate, complete, and current information. You are responsible for safeguarding your account credentials and for all activity that occurs under your account.
You agree to notify us immediately of any unauthorized access to or use of your account. We are not liable for any loss arising from unauthorized use of your account.
4. Free Trial
We may offer a free trial period for new users. The trial provides access to the Service for a limited time at no charge. At the end of the trial period, your account will require a paid subscription to continue using the Service.
We reserve the right to modify, limit, or discontinue the free trial offering at any time without prior notice.
5. Subscription and Billing
Paid subscriptions are billed on a monthly recurring basis. By subscribing to a paid plan, you authorize us to charge your designated payment method on a recurring basis until you cancel.
- Payment: All fees are stated in U.S. dollars and are non-refundable except as required by applicable law or as explicitly stated in these Terms.
- Price Changes: We may update subscription pricing with at least 30 days' advance notice. Continued use after the price change takes effect constitutes acceptance of the new pricing.
- Failed Payments: If a payment fails, we may suspend access to the Service until payment is successfully processed.
6. Cancellation
You may cancel your subscription at any time through your account dashboard or by contacting our support team. Upon cancellation:
- Your subscription remains active through the end of the current billing period.
- Call forwarding and routing configurations will be safely removed.
- Your data will be retained for 30 days after cancellation, after which it may be permanently deleted.
- No partial refunds will be issued for unused time within a billing period.
7. Acceptable Use
You agree not to use the Service to:
- Send unsolicited messages, spam, or marketing communications that violate applicable laws
- Violate the Telephone Consumer Protection Act (TCPA), CAN-SPAM Act, or any other applicable telecommunications or messaging regulations
- Impersonate any person or entity, or misrepresent your affiliation with any person or entity
- Transmit harmful, threatening, abusive, defamatory, or otherwise objectionable content
- Interfere with or disrupt the Service or servers or networks connected to the Service
- Attempt to gain unauthorized access to the Service, other accounts, or computer systems
- Use the Service for any illegal purpose or in violation of any applicable laws or regulations
We reserve the right to suspend or terminate accounts that violate these terms, with or without notice.
8. Messaging and Telecommunications Compliance
The Service sends automated text messages on your behalf to callers who have attempted to reach your business. By using the Service, you represent and warrant that:
- You have the right to operate the phone number(s) associated with your account
- Your use of the Service complies with all applicable federal, state, and local laws, including the TCPA
- You will not use the Service to contact individuals who have opted out of receiving messages
You are solely responsible for ensuring your use of automated messaging complies with all applicable regulations.
9. Intellectual Property
The Service and its original content, features, and functionality are and will remain the exclusive property of SignalNest and its licensors. The Service is protected by copyright, trademark, and other intellectual property laws.
You may not copy, modify, distribute, sell, or lease any part of the Service, nor may you reverse engineer or attempt to extract the source code of any software that is part of the Service.
10. Data and Privacy
Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your information. By using the Service, you consent to the practices described in the Privacy Policy.
You retain ownership of data you provide through the Service ("Your Data"). You grant us a limited license to use Your Data solely to provide and improve the Service.
11. Third-Party Services
The Service may integrate with or rely on third-party services including, but not limited to, Twilio (messaging and voice), Stripe (payment processing), and OpenAI (AI-powered responses). Your use of such third-party services is subject to their respective terms and privacy policies.
We are not responsible for the availability, accuracy, or performance of third-party services, and we shall not be liable for any damages arising from your use of or reliance on third-party services.
12. Service Availability and Modifications
We strive to keep the Service available at all times but do not guarantee uninterrupted or error-free operation. We may modify, suspend, or discontinue any part of the Service at any time, with or without notice.
We will make reasonable efforts to provide advance notice of material changes that may affect your use of the Service.
13. Limitation of Liability
To the maximum extent permitted by applicable law, in no event shall SignalNest, its directors, employees, partners, agents, suppliers, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation loss of profits, data, use, goodwill, or other intangible losses, resulting from:
- Your access to or use of, or inability to access or use, the Service
- Any conduct or content of any third party on the Service
- Any content obtained from the Service
- Unauthorized access, use, or alteration of your transmissions or content
- Missed calls, failed messages, or delayed responses
- Lost leads or business opportunities
Our total aggregate liability for all claims arising out of or relating to these Terms or the Service shall not exceed the amount you paid us in the twelve (12) months preceding the event giving rise to the claim.
14. Disclaimer of Warranties
The Service is provided on an "AS IS" and "AS AVAILABLE" basis, without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance.
SignalNest does not warrant that the Service will function uninterrupted, secure, or error-free, that defects will be corrected, or that the results obtained from using the Service will be accurate or reliable.
15. Indemnification
You agree to defend, indemnify, and hold harmless SignalNest and its licensors, employees, contractors, agents, officers, and directors from and against any claims, damages, obligations, losses, liabilities, costs, or debt arising from:
- Your use of and access to the Service
- Your violation of any term of these Terms
- Your violation of any third-party right, including intellectual property or privacy rights
- Any messages sent through the Service on your behalf
16. Governing Law
These Terms shall be governed and construed in accordance with the laws of the United States, without regard to conflict of law provisions. Any disputes arising under these Terms shall be resolved in the courts located within our principal place of business.
17. Changes to Terms
We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to the new terms taking effect, by posting the updated Terms on this page and updating the "Last updated" date.
Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms. If you do not agree to the new Terms, you must stop using the Service.
